1. What is meant by a Secretarial audit?

The secretarial audit is a process under which it is seen whether all the currently applicable laws, regulations, prescribed procedures, and records are being properly maintained in the organization or not.  For this especially an independent professional is appointed, which is known as a secretarial auditor who prepares the secretarial audit report.

The secretarial auditor is primarily a company secretary appointed by the company under the company’s (meeting of the board and its powers) rules, 2014. Which performs the work of secretarial audit as per rule 24A of the Securities and Exchange Board of India.

Every company names a person or company as the secretarial auditor at its first general meeting, and that person or company serves as the secretarial auditor for a term of five consecutive years after that. Every listed company

1. Every public company having paid-up share capital above RS 50 crore
2. Turnover below RS 250 crore If any one of the criteria meets then also secretarial audit is mandatory.
3. The secretarial audit has not been made mandatory for private companies and small public companies. 4. These companies may adopt secretarial audit practices for ensuring compliance and avoiding the risk associated with noncompliance.

9. What is the applicability of secretarial audits?

10. What is the penalty for making mistake in a secretarial audit?

The secretarial auditor must discharge his duties and responsibilities with utmost care and caution based on prescribed standards.  If any mistake is found in the secretarial audit, then the secretarial auditor can be fined from a minimum of one lakh rupees to a maximum of 5 lakh rupees.  If the company or the officers of the company are also found to be at fault, they are not able to follow the prescribed standard in terms of secretarial audit, then they may also have to pay a fine.
